3. MASTER RESELL RIGHTS & PRIVATE LABEL RIGHTS

DIGITAL PRODUCT LICENSING AGREEMENT

This Digital Product Licensing Agreement (the “Agreement”) is made effective as of the date of purchase (the “Effective Date”), by and between The Barstool Method LLC (the “Licensor”) and the purchaser (the “Licensee”). The Licensor and Licensee may be referred to individually as a “Party” and collectively as the “Parties.”

1. RECITALS

WHEREAS, the Licensee desires to obtain a limited license to access, use, and where applicable, resell certain portions of the Product subject to the terms of this Agreement;

2. GRANT OF LICENSE

The Licensor hereby grants the Licensee a non-exclusive, non-transferable, revocable license to access and use the Product strictly in accordance with the terms of this Agreement.

Where explicitly stated within the Product or its associated licensing documentation, the Licensee may also be granted limited resale rights (including Master Resell Rights and/or Private Label Rights) as governed under the applicable Distribution Rights section of this Agreement.

Any rights not expressly granted are reserved by the Licensor.

3. PAYMENT & PRICING

The Licensee agrees to pay a one-time licensing fee of $97 USD for access to the Product, unless otherwise specified at checkout.

The Product may be marketed or resold by the Licensee only at a minimum retail price of $97 USD, unless otherwise authorized in writing by the Licensor.

4. INTELLECTUAL PROPERTY RIGHTS

The Licensee acknowledges and agrees that:

  • All intellectual property rights, including but not limited to copyrights, trademarks, branding, systems, frameworks, and content, remain the exclusive property of The Barstool Method LLC, unless explicitly licensed under the terms of this Agreement.

  • No ownership rights are transferred to the Licensee.

  • Any resale rights granted are limited, non-exclusive, and revocable.

5. DISTRIBUTION RIGHTS (MRR / PLR – IF APPLICABLE)

Where applicable, certain components of the Product may include Master Resell Rights (MRR) and/or Private Label Rights (PLR).

These rights apply only to assets explicitly identified within eligible Product packages (such as “The Business In A Box”) and do not apply to standalone products unless expressly stated.

If granted, Distribution Rights allow the Licensee to:

  • Resell the designated Product as specified

  • Retain profits from such resale

  • Use provided sales assets as intended within the licensing scope

The Licensee may NOT:

  • Claim authorship of the core intellectual property unless PLR is explicitly granted

  • Modify licensing structure or rights distribution

  • Resell outside of permitted product scope

6. COMPLIANCE WITH LAWS

The Licensee agrees to comply with all applicable local, state, federal, and international laws and regulations in connection with the marketing, sale, or use of the Product.

7. TERMINATION

This Agreement may be terminated by The Barstool Method LLC at any time upon written notice if the Licensee:

  • Breaches any material term of this Agreement, or

  • Engages in misuse, fraud, or unauthorized distribution of the Product

Upon termination, all granted rights shall immediately cease.

8. INDEMNIFICATION

The Licensee agrees to indemnify, defend, and hold harmless The Barstool Method LLC, its officers, directors, employees, contractors, affiliates, and licensors from and against any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

  • The Licensee’s use or resale of the Product
